This agreement

These terms of service ("Terms") govern your access to and use of the VastuVidhi website, web application, reports and related services (together, the "Service"). The Service is provided by [REGISTERED LEGAL NAME], [REGISTERED ADDRESS] ("VastuVidhi", "we", "us" or "our"). "You" means the person who uses the Service.

You accept these Terms by ticking the box that says so when you create an account, by accepting them when we ask you to, or by using the Service. If you do not agree to them, do not use the Service. Our privacy policy and refund policy form part of these Terms.

These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it. They are generated by a computer system and need no physical or digital signature to be binding.

What the service is

You upload a floor plan, trace its outline, confirm its rooms and set the direction of north. The Service reads the placements in that plan against a knowledge base compiled from classical and modern texts on Vastu Shastra, and returns a report (a "Reading") describing what those texts say about each placement, with suggestions drawn from them.

Readings are produced by software. The knowledge base behind them was compiled and reviewed by people; an individual Reading is not written, checked or approved by a person, and no individual Vastu consultant is engaged for you.

What the reading is, and is not

Vastu Shastra is a body of traditional and cultural knowledge. Its texts differ from one another, and its claims about how a building affects the people who live in it have not been established by scientific evidence. A Reading reports what those texts say. It is offered for general information, cultural interest and personal reflection only.

A Reading is not professional advice of any kind. It is not architectural, structural, engineering, construction, planning, legal, financial, investment, tax, medical, psychological or other professional advice, and nothing in it creates a professional relationship between you and us. It does not assess whether a building is safe, sound, legal or fit to live in.

A Reading is not a prediction. It does not predict or promise any outcome: not health, wealth, relationships, fertility, career, safety, or any other event in your life or anyone else's. Where the texts associate a placement with a benefit or a difficulty, the Reading reports that association as a claim of the tradition, not as a fact about your home or your future.

Your decisions are your own. You alone decide whether and how to act on a Reading, including any decision to buy, sell, rent, build, alter, renovate or move, or any decision about your health, money or family. Before any such decision, seek advice from a suitably qualified professional. Do not delay or forgo professional advice or treatment because of anything in a Reading.

Some of what the texts say concerns religious and spiritual practice. We report it without endorsing any belief, and nothing in the Service is intended to offend any religion, community or tradition.

Remedies and physical work

Readings describe remedies as the texts give them. Some involve physical work, materials or activities that carry risk if done carelessly, such as cutting or drilling floors and walls, embedding metal strips, handling lead or other metals, burning camphor, lamps or incense, placing water features, digging, filling pits or wells, or electrical work.

• Any work on a building must be carried out by a qualified person, in line with the building's structure, the law, building bye-laws, and the rules of any housing society, landlord or owner. Get every permission you need first.
• Take ordinary safety care with fire, heat, sharp tools, heavy objects and electricity, and keep materials away from children and animals.
• Do not eat, drink or apply to the body anything a remedy mentions unless a qualified medical practitioner has told you it is safe for you.
• Stones, metals, objects and rituals named in a Reading are described because the texts name them. We do not sell them, recommend any seller, or vouch for their quality, authenticity or effect.

You carry out any remedy entirely at your own risk and expense.

Your plan and your inputs

A Reading is only as accurate as what you give it: the plan you upload, the outline you trace, the rooms you confirm and the north bearing you set. The north bearing is decisive; an error of around twenty degrees can move a room into a neighbouring direction and change what is said about it. You are responsible for the accuracy of your inputs, and we are not responsible for a Reading that is wrong because they were.

Software can make mistakes in reading a drawing. Check what the Service shows you before you rely on it, and tell us if something is wrong.

Eligibility and your account

• You must be at least 18 years old and able to form a binding contract under the Indian Contract Act, 1872. The Service is intended for use in India.
• If you use the Service on behalf of a business or another person, you confirm you have authority to accept these Terms for them, and they are bound by them too.
• You sign in with Google, Facebook or a one-time code sent to your mobile number. Keep access to those accounts and to your phone secure. You are responsible for everything done through your account, and for keeping your details accurate.
• Tell us at once at [email protected] if you believe someone else has used your account.

Acceptable use

You agree not to, and not to help anyone else to:

• upload a plan, image or other material you do not have the right to use, or that identifies another person without their consent;
• use the Service for anything unlawful, fraudulent, defamatory, or harmful to anyone;
• copy, scrape, crawl or extract Readings, the knowledge base or any part of the Service by automated means, or build a database or competing product from them;
• resell, sublicense or commercially redistribute Readings except as your plan expressly allows;
• use Readings or any part of the Service to train, test or improve a machine-learning or artificial-intelligence system;
• reverse-engineer, decompile or attempt to derive the source code, models or data of the Service, except where the law expressly permits it;
• probe, scan or test the security of the Service, interfere with its operation, overload it, or get around any limit or protection in it;
• access another person's account or data, or impersonate anyone;
• present a Reading as professional advice, or as our endorsement of you, your services or a property.

Your content

You keep ownership of the plans and other material you upload ("Your Content"). You grant us a non-exclusive, royalty-free, worldwide licence to host, store, copy, process and transmit Your Content, and to have our service providers do so on our behalf, only as needed to provide the Service to you, keep it secure, and meet our legal obligations. This licence ends when you delete Your Content or close your account, except for what the law requires us to keep.

We do not sell Your Content, use it for advertising, or use it to train a model, as our privacy policy explains.

You confirm that you own Your Content or have every right needed to upload it and to grant this licence, and that our processing it as these Terms describe will not infringe anyone's rights or break any law.

Our property

The Service, its software, design, text and illustrations, the knowledge base and its selection, arrangement and editorial content, the format of the Readings, and the VastuVidhi name and marks belong to us or our licensors and are protected by law. Nothing in these Terms transfers them to you.

Subject to these Terms and to your payment of any fees due, we grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service and to keep, print and share your own Readings for your personal, non-commercial use, or for the professional use your plan expressly includes. All other rights are reserved.

If you send us ideas or feedback, we may use them without restriction or payment to you.

Payment, renewal and refunds

• Prices, what each plan includes, and whether goods and services tax is included are shown before you pay. You pay the price shown at the time of purchase, and any taxes that apply.
• Payments are processed by a third-party payment gateway on its own terms. We do not receive or store your full card or bank details.
• A plan that renews does so only as described to you at the time of purchase, and you can stop it renewing at any time before the renewal date.
• We may change our prices for future purchases or renewals. A change does not affect what you have already paid for, and we will tell you before a change applies to a renewal.
• Refunds are governed by the refund policy. If you dispute a charge with your bank without first contacting us, we may suspend your account while the dispute is resolved.

Other services we rely on

The Service relies on third parties, including sign-in providers (Google, Facebook, and a text-message service for one-time codes), hosting and storage providers, image-analysis services, and a payment gateway. Your use of a third party's service is subject to its own terms. We are not responsible for a third party's acts, omissions or availability, or for content on any website we link to.

Availability and changes

We work to keep the Service available and accurate, but we do not promise that it will be uninterrupted, timely, secure or free of errors, or that any error will be corrected. We may change, suspend or discontinue any part of the Service, including the knowledge base and how Readings are produced, at any time. Features we mark as a preview or beta are provided as they are and may change or be withdrawn. If we discontinue a paid service before the end of a period you have paid for, we will refund the unused part.

No warranties

To the fullest extent permitted by law, the Service and every Reading are provided "as is" and "as available", and we disclaim all warranties, conditions and representations, whether express, implied or statutory, including any as to accuracy, completeness, reliability, suitability for a particular purpose, results, or freedom from errors or harmful components. We do not warrant that any Reading, remedy or placement will have any effect.

Limitation of liability

To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for any loss of profit, revenue, business, opportunity, goodwill, data or anticipated savings, however it arises and even if we were told it might happen.
• We are not liable for any loss, damage, injury, cost or expense arising from any decision you or anyone else makes, or any action you or anyone else takes or does not take, in reliance on a Reading. This includes decisions about buying, selling, renting, building or altering property, work carried out on a building, remedies performed, and decisions about health, money or relationships.
• We are not liable for any failure or delay caused by an event beyond our reasonable control, including natural disasters, epidemics, war, civil unrest, government action, strikes, power or network failures, and failures of third-party services.
• Our total liability to you for all claims arising out of or relating to the Service or these Terms, in contract, tort (including negligence) or otherwise, is limited to the fees you paid us for the Service in the twelve months before the event giving rise to the claim.

What these Terms do not limit. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under the law of India, including liability for fraud, or any right you have as a consumer that the law does not allow a contract to take away.

Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless VastuVidhi and its officers, employees and agents against any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) brought by a third party, or incurred by us, arising out of: Your Content; your breach of these Terms or of any law; your misuse of the Service; or any work, remedy or action you carry out or commission in reliance on a Reading.

Suspension and closing

You can stop using the Service and close your account at any time from your account page. Closing it deletes your plans and Readings as our privacy policy describes.

We may suspend or close your account, or restrict your access, if you breach these Terms, if we are required to by law, or if we reasonably believe your use puts the Service, other users or us at risk. Where it is reasonable and lawful, we will tell you why first and give you a chance to put things right. If we close your account without cause, we will refund any unused part of a period you have paid for.

Sections of these Terms that by their nature should continue after they end, including those on your content, our property, no warranties, limitation of liability, indemnity and disputes, continue.

Privacy and communications

How we collect and use personal data is set out in our privacy policy, which forms part of these Terms. You agree that we may send you one-time codes by text message and messages about your account, purchases and the Service by email or text. These service messages are not marketing, and you cannot opt out of them while you have an account.

Changes to these terms

We may change these Terms. When we make a material change, we will update the date and version at the top of this page and ask you to accept the new Terms before you continue to use the Service. The Terms in force when an event occurs govern that event. If you do not accept a change, you may close your account, and we will refund any unused part of a period you have paid for.

Disputes and governing law

These Terms, and any dispute or claim arising out of or in connection with them or the Service, are governed by the laws of India.

Talk to us first. Before starting any proceedings, write to [email protected] describing the dispute and what you want. We will try in good faith to resolve it within thirty days.

Arbitration. A dispute not resolved within that time will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by agreement between you and us or, failing agreement, in accordance with that Act. The seat of arbitration is [CITY]. The arbitration will be conducted in English and, where the arbitrator permits, online. The award is final and binding.

Courts. Subject to the arbitration clause, the courts at [CITY] have exclusive jurisdiction, including for interim relief.

Your rights as a consumer. Nothing in this section prevents you from bringing a complaint before a Consumer Commission under the Consumer Protection Act, 2019, where that Act applies to you.

We acknowledge a grievance within forty-eight hours of receiving it and aim to resolve it within one month.

General

• Entire agreement. These Terms, with the privacy and refund policies, are the whole agreement between you and us about the Service and replace anything said or written before.
• Severability. If any part of these Terms is found invalid or unenforceable, it is read down to the extent needed to make it enforceable, and the rest remains in force.
• No waiver. If we do not enforce a right, or delay in doing so, we have not given it up.
• Assignment. You may not transfer your rights or obligations under these Terms. We may transfer ours to a business that takes over the Service, and will tell you if we do.
• No partnership. Nothing in these Terms creates a partnership, agency or employment relationship.
• Language. These Terms are written in English. If they are translated, the English version prevails.
• Notices. We may give you notice by email, by text message, or in the Service. You may give us notice at [email protected].
